It was initially announced in February 2020 that our client and another Housing Association were exploring partnership options. The subsequent decision to move ahead with merger plans was made following months of detailed due diligence work and consultation with customers of both organisations; and they are planning to go live as their newly merged brand on 1st April.

About the role
Our client is seeking an experienced and qualified Director of Governance and Company Secretary to join them on a full time permanent basis.
Working alongside the Chair and CEO, you will hold a significant post in the organisation as we implement changes following on from the merger and will be required to support the Chair, Board and Committees; and draft and oversee Board/committee agendas ensuring required items are included as well as suggestions on strategic discussion items to ensure Board has broad oversight across all of the organisations services.
Appointed as Company Secretary for the newly merged organisation and its subsidiaries, and leading the governance team, you will be responsible for delivering high quality company secretariat services to the Group while ensuring compliance with all statutory and regulatory requirements including most recent best practice on governance issues. You will also help them prepare for their first In-Depth Assessment post merger.
Within this role, you must Chair the Matrix governance group and regularly attend executive board meetings.
You will be also required to ensure that systems are in place for succession planning, recruitment, induction and ongoing support and training of Board Members.
About you
It is essential that you are educated to a degree level and have previous Housing Association experience and an in-depth understanding of Regulatory compliance. It is essential for this role that you also have a recognised company secretary qualification.
You will also be required to have the ability to design, plan, write and implement operational plans and have strong strategic planning and analysis skills.
You must be an excellent communicator, with experience of operating at board level and possessing strong relationship building and stakeholder management experience. You will have high level of tact and diplomacy along with the confidence and credibility to work with people at all levels.
It is also essential that you are flexible and accommodating as on occasion you will have to work evenings or weekends.
