Are you an experienced Governance Manager with experience of working in a complex environment?

Are you a Company Secretary with a passion for ensuring good governance practices?

We are delighted to be supporting a large Membership organisation supporting young women and girls to recruit their new Governance Manager. The successful candidate will play a pivotal role ensuring the organisation adheres to the highest standards of good governance practice, whilst complying with relevant statutory regulation including charity law and charity governance.

Reporting to the Deputy Chief Executive, the main key areas of this role will consist of governance, compliance and regulation and governance as well as additional project support for the overall organisation. Acting as the Company Secretary, you will ensure quality secretariat support for various governance bodies including the Board of trustees, Audit and Risk, Nominations and Governance and Remuneration Committees. In addition to line managing the Governance Officer, day to day duties will consist of preparing and finalising agendas, attending board, committee and working group meetings including taking minutes and follow up action points. You will work on processes for recruitment and appointment of new trustees as well as ensuring trustees are fulfilling their legal duties. The placed candidate will keep up to date with changes and significant developments within governance, making recommendations for change where necessary as well as having oversight of statutory files and recording statutory returns and filings. In addition, you will assist in dealing with information requests, support with progress work for their website and intranet and monitor the progress of various internal projects.

To be considered for this role it is essential to have substantial experience of working within a governance role, especially within a large and complex environment. You are required to have knowledge and understanding of the law relating to charities, companies, trusteeship and data protection with the ability to build effective and collaborative relationships internally, particularly with senior staff and senior governance volunteers. Excellent verbal and written communications skills with the ability to convey complex information is vital and you must have experience of producing high quality and accurate minutes. In addition to this, proven experience of line managing a small team is essential. Ideally, you will also have experience of working within a charity or membership organisation.

With the organisation being volunteer member led, board and committee meetings will take place mainly at weekends. Flexibility to attend these is essential, however some are via Skype and you will have the time back in lieu.
